TERMS & CONDITIONS
Effective date: 23 September 2026
1. About these Terms
These Terms & Conditions (“Terms”) apply to digital products and business-administration support supplied by Clendon Business Solutions (“CBS”, “we”, “us” or “our”).
Business name: Clendon Business Solutions
NZBN: 9429053908896
Email: jennyclendon@gmail.com
Country of operation: New Zealand
By ordering, purchasing, downloading or using a CBS product, purchasing a support plan, or instructing CBS to begin work, you agree to these Terms.
If CBS agrees separate written terms for a particular job, those written terms will apply to the extent of any inconsistency.
2. Prices and GST
Prices are stated in New Zealand dollars.
CBS is GST registered. Unless a product page, plan, proposal, quote or invoice specifically states otherwise, CBS website and Wix plan prices include 15% GST.
Prices and service offerings may be changed for future purchases. A change will not retrospectively alter an existing completed purchase or agreed fixed quote.
3. Digital products
CBS digital products are supplied electronically after successful payment. No physical product will be shipped.
The contents, file formats, software requirements and inclusions for each product are those stated on its individual product page at the time of purchase.
Customers are responsible for:
• checking the product description and software requirements before purchasing;
• having compatible software and equipment;
• downloading and safely storing the files;
• retaining suitable backup copies;
• entering accurate information;
• reviewing calculations, outputs and completed documents; and
• adapting the product appropriately for their own business and circumstances.
CBS does not guarantee that purchased files will remain permanently available for re-download. Customers should download and back up their files promptly.
If a download link or file does not work, the customer should contact CBS so the issue can be investigated.
4. Digital-product licence
Unless a product page expressly states otherwise, purchasing a CBS digital product gives the purchasing business a non-exclusive, non-transferable licence to use and customise the product internally for that business.
The business owner and its workers or staff may use the files for the internal operations of the purchasing business.
The customer must not:
• resell, redistribute or sublicense a CBS product;
• share the files with unrelated businesses or individuals;
• upload the files to a public or shared template library;
• offer the product or a substantially copied version as their own commercial template product;
• remove ownership notices for the purpose of misrepresenting the product’s origin; or
• use the files in a way that infringes CBS’s intellectual-property rights.
A customer may enter its own information, branding and operational content into the files for legitimate internal use.
5. Intellectual property
CBS retains ownership of its underlying templates, spreadsheets, guides, written content, design elements and other intellectual property.
Purchasing a product does not transfer copyright or ownership of the underlying product to the customer. It grants only the limited internal-use licence described in these Terms.
Unless otherwise agreed in writing, pre-existing CBS materials used while performing a support service remain CBS property. The client owns its own information and the completed client-specific content supplied to it, but CBS retains ownership of its pre-existing systems, know-how, template structures and reusable materials.
6. Software compatibility and customer review
File and software requirements are stated on the relevant product page. A customer is responsible for checking those requirements before purchase.
CBS does not guarantee that a product will work in software, operating systems or third-party platforms not identified as compatible.
Templates and spreadsheets are practical administration tools. They are not a substitute for professional advice or for the customer’s own review and judgement.
Customers remain responsible for checking:
• information entered into a file;
• formulas, calculations and resulting outputs;
• the suitability of forms and procedures for their circumstances;
• legal and regulatory requirements applying to their business; and
• decisions made using the product.
7. One-off support services
Unless otherwise agreed in writing, one-off support services must be paid for before work begins.
The scope of a one-off service is limited to the work described on the relevant service page, quote or written agreement.
The client must provide the information, documents, instructions and responses reasonably needed to complete the work.
If CBS identifies additional work outside the agreed scope, that work will not be undertaken or charged without the client’s approval. CBS may provide a separate quote or agree an additional charge.
Where a prepaid one-off service is described as valid for one month, the customer must commence or use the purchased service within one month of purchase unless CBS agrees otherwise.
This does not mean that all work is guaranteed to be completed within one month. Completion timing may depend on the scope and complexity of the work, CBS’s availability, client information, instructions, approvals and other relevant circumstances.
8. Monthly support plans
Monthly support plans are billed monthly and continue until cancelled.
The support allowance applying to each plan is shown on the relevant plan page. Included hours:
• are available during the applicable monthly billing period;
• do not roll over to a later month; and
• cannot be transferred to another person or unrelated business.
Work beyond the included hours will be undertaken only with the customer’s approval and may be charged at the applicable additional-work rate or separately quoted.
A customer may cancel a monthly plan before the next billing date to prevent the next renewal. The customer retains the benefit of the period already paid for, subject to these Terms.
Cancelling does not automatically refund a monthly period that has already started.
9. Annual support plan
The Business Partner Annual plan is billed yearly and renews yearly until cancelled.
It currently includes up to 10 hours of remote administration support per month. Included monthly hours do not roll over to another month.
Work beyond the included allowance will be undertaken only with the customer’s approval and may be charged at the applicable additional-work rate or separately quoted.
The customer may cancel before the next annual billing date to stop the next annual renewal.
Cancellation during a paid annual term does not automatically create an entitlement to a full refund or a simple pro-rata refund. Any request for an early cancellation remedy will be considered in light of:
• services or support already provided;
• the elapsed portion of the paid annual service period;
• amounts properly earned;
• approved or genuinely non-refundable costs;
• the circumstances of cancellation; and
• the customer’s applicable statutory rights.
10. Scope, instructions and approvals
CBS will work according to the agreed scope and the information and instructions supplied by the client.
The client is responsible for:
• giving clear, accurate and timely instructions;
• supplying complete and accurate information;
• reviewing drafts or completed work;
• making decisions that require the client’s business knowledge or authority;
• responding to questions reasonably needed to progress the work; and
• approving additional work before it is undertaken.
CBS may rely on information supplied by the client unless there is an obvious reason to question it.
11. Third-party personal information and system access
A client who supplies CBS with personal information about customers, staff, contractors, suppliers or other people must ensure that it is lawfully entitled to provide that information.
The client should provide only information reasonably necessary for the agreed work and remains responsible for its own privacy and record-keeping obligations.
Clients should not send passwords through ordinary email or messaging. Where access to a third-party system is necessary, the client should use an appropriate authorised or delegated-access method where available.
12. Confidentiality and client information
CBS will treat non-public client information as confidential and will use it only as reasonably required to:
• provide the agreed products or services;
• administer the client relationship;
• meet legal or regulatory obligations;
• protect CBS’s lawful rights; or
• carry out another purpose authorised by the client.
Confidentiality does not apply to information that is already public through no breach by CBS, was lawfully known to CBS, is independently developed, or must lawfully be disclosed.
Personal information is handled in accordance with the CBS Privacy Policy.
13. Fees and payment
The applicable fees are those displayed at checkout or recorded in the relevant plan, proposal, quote or invoice.
Unless otherwise agreed:
• digital products are payable at purchase;
• one-off support is payable before work begins;
• monthly plans are billed monthly;
• annual plans are billed yearly; and
• approved additional work is payable according to the quote, invoice or written agreement.
CBS will not undertake additional chargeable work outside the agreed scope without approval.
If an amount is overdue, CBS may pause work, withhold further delivery, or suspend services until the account is brought up to date, provided this is done consistently with applicable law.
The customer remains responsible for amounts properly owing for products or services already supplied.
14. Timeframes and delivery
Digital products are normally made available electronically after successful payment, subject to payment confirmation and ordinary technical operation of Wix, Stripe and internet services.
Timeframes for support services depend on:
• the scope and complexity of the work;
• CBS’s availability;
• the client supplying the required information;
• the client responding to questions or approvals; and
• third-party systems or providers.
A timeframe may be agreed for an individual job. Unless expressly agreed otherwise, a general website statement is an estimate rather than a guaranteed deadline.
Delays in receiving necessary information, instructions or approvals may affect delivery timing.
15. Corrections, revisions and additional work
CBS may accommodate reasonable corrections or revisions that remain within the originally agreed scope.
A material change to the brief, a new task, repeated revisions, or work outside the agreed scope may be separately quoted or charged with the customer’s approval.
A correction does not include changing work that accurately reflects the client’s original instructions but is later affected by a change of mind, changed circumstances or new requirements.
16. Cancellation and termination
Cancellation and refund requests are handled under the CBS Refund Policy and applicable New Zealand law.
CBS may pause or terminate a service where:
• the customer does not pay an amount properly due;
• necessary information or instructions are not supplied;
• the customer requests unlawful, misleading or inappropriate work;
• continuing would create an unreasonable security, privacy or legal risk;
• the customer seriously or repeatedly breaches these Terms; or
• continuing the working relationship is no longer reasonably practicable.
Where reasonably possible, CBS will explain the issue and provide an opportunity to resolve it before termination.
Termination does not affect rights or obligations that accrued beforehand, including payment for properly completed work.
17. Third-party platforms and interruptions
CBS uses third-party services including Wix and Stripe. CBS may also work with third-party systems selected or used by a client.
CBS is not responsible for an interruption, change, outage, security restriction or incompatibility caused by a third-party platform outside CBS’s reasonable control.
CBS will take reasonable steps to assist with issues relating to its own products or services but does not control or guarantee third-party platforms.
Customers are responsible for complying with the terms applying to their own third-party accounts and systems.
18. Nature of CBS services
CBS provides practical business-administration products and administrative support.
Unless separately agreed and appropriately qualified, CBS does not provide:
• legal advice;
• accounting or tax advice;
• financial advice;
• employment or human-resources advice;
• health-and-safety consultancy;
• engineering or technical certification; or
• other regulated professional advice.
References to bookkeeping support, financial administration, workplace documentation, health-and-safety administration or SiteWise administration mean administrative assistance only.
Customers should obtain appropriately qualified advice where required and remain responsible for their business decisions and legal compliance.
19. Liability
Nothing in these Terms excludes, restricts or modifies a right or remedy that cannot lawfully be excluded, restricted or modified.
To the extent permitted by law:
• CBS is responsible only for loss that is a reasonably foreseeable result of CBS failing to meet its obligations;
• CBS is not responsible for loss caused by inaccurate, incomplete or late information supplied by a customer;
• CBS is not responsible for decisions made without appropriately reviewing a product or completed work;
• CBS is not responsible for a failure of software or third-party systems outside its reasonable control; and
• CBS is not responsible for indirect or consequential commercial loss where excluding that liability is legally permitted.
Any limitation will be interpreted subject to applicable rights under the Consumer Guarantees Act 1993, Fair Trading Act 1986 and other New Zealand law.
CBS does not contract out of the Consumer Guarantees Act in these Terms.
20. Statutory rights
These Terms do not remove or limit any rights a customer has under New Zealand law that cannot lawfully be excluded.
Digital products and services must meet applicable statutory guarantees. Remedies will depend on the nature and seriousness of the issue and the requirements of applicable law.
21. Privacy and refunds
The CBS Privacy Policy explains how CBS handles personal information.
The CBS Refund Policy explains how CBS handles digital-product problems, change-of-mind requests and cancellations of one-off, monthly and annual services.
Those policies should be read together with these Terms.
22. Changes to these Terms
CBS may update these Terms for future purchases and services.
The Terms applying to a purchase or agreed job will generally be those in effect when the order is placed or the work is agreed, unless a lawful change is agreed in writing.
23. Governing law
These Terms are governed by New Zealand law.
The parties submit to the jurisdiction of the New Zealand courts, while retaining any right to use an applicable dispute-resolution or consumer process.
